Terms of Service

These Terms of Service ("Terms") govern your use of the LogisticsFlow platform and website, operated by VBU4 Limited(trading as LogisticsFlow), a company registered in England and Wales ("we", "us", "our").
By creating an account or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our platform.
1. Definitions
- "Platform" means the LogisticsFlow software-as-a-service application accessible at logisticsflow.co.uk.
- "Provider" means VBU4 Limited (trading as LogisticsFlow).
- "Customer" means the business or individual that has registered and subscribed to use the Platform.
- "User" means any individual who accesses the Platform under a Customer account, including administrators, warehouse managers, suppliers, drivers, and client company users.
- "Subscription" means the paid licence to access and use the Platform, as selected by the Customer.
2. Account registration and approval
To access the Platform, you must register an account with accurate and complete information. All new account registrations are subject to manual review and approval by LogisticsFlow. We reserve the right to approve or decline any registration at our discretion, without obligation to provide a reason.
You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@logisticsflow.co.uk if you suspect any unauthorised access.
3. Free trial
New accounts are eligible for a 14-day free trial, subject to account approval. During the trial period you will have access to the full features of your selected plan. No credit card is required for the trial. At the end of the trial, your account will be paused and you must subscribe to continue access. We reserve the right to modify or withdraw free trial periods at any time.
4. Subscription and payment
Subscription fees are billed monthly or annually in advance, at the rates published on our pricing page. All prices are exclusive of VAT unless stated otherwise. VAT will be charged at the applicable UK rate.
We reserve the right to change our pricing with a minimum of 30 days' written notice to active subscribers. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
Failure to pay within 7 days of the due date may result in suspension of your account. Accounts suspended for non-payment for more than 30 days may be permanently terminated and data deleted.
5. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or our infrastructure
- Upload or transmit malicious code, viruses, or harmful software
- Use the Platform to store, process, or transmit content that is illegal, defamatory, or infringes third-party rights
- Resell, sublicense, or provide access to the Platform to third parties without our written consent
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Use automated scripts, bots, or scraping tools against the Platform
We reserve the right to suspend or terminate accounts that breach these conditions immediately and without notice.
6. Data ownership and intellectual property
You retain full ownership of the data, content, and records you input into the Platform ("Customer Data"). You grant VBU4 Limited a non-exclusive, worldwide licence to process Customer Data solely to provide the Platform services as described.
VBU4 Limited retains all ownership of the Platform, including its software, code, design, branding, documentation, and all intellectual property. Nothing in these Terms grants you any rights in the Platform beyond those expressly stated.
7. Data protection
Each party agrees to comply with its obligations under UK GDPR and the Data Protection Act 2018. Where VBU4 Limited processes personal data on behalf of the Customer, it does so as a data processor acting under the Customer's instructions. Our full data processing practices are set out in our Privacy Policy.
8. Availability and uptime
We aim to maintain Platform availability of 99.9% per calendar month, excluding planned maintenance. Planned maintenance will be communicated via email or in-platform notice with as much advance notice as reasonably practicable.
We are not liable for outages caused by third-party infrastructure providers, internet service providers, or events outside our reasonable control (including force majeure events).
9. Confidentiality
Both parties agree to keep confidential any non-public information received from the other in connection with these Terms, and not to disclose such information to third parties without prior written consent, except as required by law.
10. Limitation of liability
To the fullest extent permitted by applicable law:
- Our total aggregate liability to you in any 12-month period shall not exceed the total subscription fees paid by you to us in that same 12-month period.
- We exclude all liability for indirect, incidental, consequential, special, or punitive losses, including loss of profit, loss of revenue, loss of data, or loss of business opportunity, whether arising in contract, tort, or otherwise.
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Warranties and disclaimers
The Platform is provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. We make no representations about the suitability of the Platform for any particular purpose beyond those expressly described.
12. Termination
Either party may terminate the Subscription at any time. You may cancel via your account settings or by contacting us at support@logisticsflow.co.uk.
Upon termination: your access to the Platform is revoked immediately; your Customer Data is retained for 30 days during which you may request an export; after 30 days, all Customer Data is permanently and irreversibly deleted.
No refunds are provided for unused subscription periods, unless required by law.
We may terminate or suspend your account immediately without notice if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law.
13. Changes to these Terms
We may update these Terms from time to time. We will provide at least 14 days' written notice of material changes via email to the registered account holder. Continued use of the Platform after the effective date of changes constitutes acceptance. If you do not agree to the revised Terms, you may terminate your account before the changes take effect.
14. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless both parties agree to an alternative dispute resolution process.
15. Entire agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VBU4 Limited in relation to your use of the Platform, and supersede all prior agreements and understandings.
